RootJam Content Contribution Agreement

ROOTJAM CONTENT CONTRIBUTION AGREEMENT
This content contribution agreement (“Contribution Agreement”) is between RootJam Inc. and its affiliate companies (“RootJam”) and you (the “Contributor” and “You”).
You own certain media content, such as a track, stem, photo, image, video etc (each “Media Content”) and You may provide it to RootJam.
This Contribution Agreement sets out the terms and conditions between You and RootJam that cover your Media Content which you have contributed to RootJam, RootJam partners and all holders of a RootJam Account (together, the ”RootJam Community”).
You agree that all Media Content which you do provide to RootJam shall, on receipt by RootJam, be subject to this Contribution Agreement and, for so long as it is accessed through any RootJam service, You authorize the RootJam Community to use the Media Content for any purpose:  RootJam thanks you for contributing your Media Content to the RootJam Community.
For the avoidance of any doubt, You do not authorize the use of any of your Media Content if it is not accessed through a RootJam Service.
Contributor confirmations
1. You hereby represent and warrant that you are the exclusive owner of the Media Content contributed to the RootJam Community, that you own all copyrights and other proprietary rights in this Media Content, that your contribution does not violate or infringe in any way upon the rights of any third party and that it is not libelous or otherwise illegal:  RootJam disclaims all liability for all such matters and fully relies on these representations/warranties by You.
2. You hereby contribute the Media Content owned by you to RootJam and allow the RootJam Community to use your Media Content, through the RootJam Embeddable Player and other RootJam services, free of charge and with no limitations or restrictions: your contribution is made by way of a non-exclusive, transferable, perpetual license to use your Media Content free of charge and without any restrictions if used through the RootJam Embeddable Player and other RootJam services (the “Usage Rights”).
3. You acknowledge that all Media Content contributed by You, may be used through the RootJam Embeddable Player and other RootJam services by the RootJam Community for various purposes, possibly including commercial and business web-sites: You renounce any claim against RootJam and all members of the RootJam Community for the use of your Media Content pursuant to this Contribution Agreement.
4. RootJam and any member of the RootJam Community may modify, alter or change the Media Content in any way or manner at their sole discretion and without any limitation.
5. RootJam will not be able to remove the Media Content which has already been used by RootJam or the RootJam Community:  your contribution of the Media Content and your grant of the Usage Rights are irrevocable.
6. You understand that RootJam may in the future operate under a different legal structure, may use different brand names and/or may enter different partnerships and/or cooperate with other entities:  such changes shall not affect or change in any way the Usage Rights granted by You pursuant to this Contribution Agreement.
7. You have independently and willfully decided to contribute the Media Content and grant the Usage Rights to RootJam and you are not relying on any representations or statements other than as set forth in this Contribution Agreement.

8. The use of the Media Content by RootJam and the RootJam Community shall be through the RootJam Embeddable Player and other RootJam services and free-of-charge.
Miscellaneous
9. RootJam makes no express or implied representations or warranties with respect to the use of the Media Content and the Usage Rights.
10. Your contribution of your Media Content and the Usage Rights shall not in any way create any partnership, joint venture, agency, franchise, sales representative relationship or employment relationship between You and RootJam.
11. The contribution of the Media Content and the Usage Rights shall be governed by RootJam’s Terms of Service.??By clicking the ‘I Accept’ button, You confirm that You have read this Contribution Agreement and that You understand and agree to the terms of this Contribution Agreement.
